Shareholders are told corporations are returning capital through stock buybacks worth hundreds of billions annually. Yet the same corporations are simultaneously issuing enormous blocks of new stock to employees at far lower prices. The gap between what management says it's doing and what the math actually shows is widening, but almost no one is paying attention.
- Stock buybacks have become standard corporate theater. Companies announce them as shareholder-friendly capital returns, the kind of move that signals management confidence and generosity. But the public announcement obscures something more complicated happening underneath.
- The mechanism is straightforward and invisible. When companies issue new shares to employees at low prices while simultaneously buying them back on the open market at high prices, the difference in per-share value never reaches shareholders but flows entirely to the employees receiving the shares.
- The scale of this transfer is staggering. At major corporations, the gap between buyback prices and employee issuance prices can represent 60% or more of total buyback value. That's capital explicitly marketed as shareholder return, captured instead by management.
- This wealth transfer concentrates at the top. CEOs own billions in stock. Senior executives hold hundreds of millions. The managerial class has done particularly well in a regime where more stock issuance gets sterilized by more buybacks.
- If shareholders are losing tens of billions annually through this mechanism and it remains largely invisible in financial discourse, what does that say about the system supposed to protect shareholder interests? How long can this continue unnoticed?
